SITESYNC MASTER SERVICES AGREEMENT

This Master Services Agreement (“Agreement”) is entered into by and between SECONDSITE, Inc. (“SECONDSITE,” “we,” or “us”) and the entity identified in the applicable Order Form (“Customer” or “you”). This Agreement governs Customer’s access to and use of the SITESYNC middleware integration platform.
By executing an Order Form or accessing the SITESYNC platform, Customer agrees to be bound by this Agreement.
1. Description of Services
SITESYNC is a middleware integration service that facilitates synchronization of project-related data between third-party platforms, including but not limited to Revizto and Autodesk Build.
SITESYNC operates solely as an integration layer.
SECONDSITE does not create, modify, host, replace, any third-party software platform, project environment, or underlying project data stored within such platforms.
All third-party platforms remain subject to their respective terms and conditions.
Subject to the terms of this Agreement and payment of applicable fees, SECONDSITE grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use SITESYNC during the applicable subscription term solely for Customer’s internal business purposes.
No ownership rights are granted.
3. Subscription Term
The subscription term shall be specified in the applicable Order Form. Subscriptions do not automatically renew unless expressly stated in writing.
4. Fees and Payment
Fees are set forth in the applicable Order Form.
All fees are non-refundable unless expressly stated otherwise.
Failure to pay undisputed fees may result in suspension of service.
5. Customer Responsibilities
Customer is responsible for:
Maintaining valid licenses and access rights to all required third-party platforms;
Ensuring compliance with third-party platform terms;
Designating an account administrator;
Ensuring its use of SITESYNC complies with applicable laws.
Customer acknowledges that SITESYNC functionality depends on the availability, API structure, and service performance of third-party platforms.
6. Support Services
6.1 Standard Support. During the subscription term, SECONDSITE will provide email-based technical support for SITESYNC at no additional charge. Support requests may be submitted to support@secondsite.ai by Customer's account administrator or other authorized contacts. Standard Support is available Monday through Friday, 9:00 a.m. to 5:00 p.m. Pacific Time, excluding U.S. federal holidays ("Business Hours"). SECONDSITE will use commercially reasonable efforts to acknowledge support requests within one (1) Business Day. Response times are targets only and do not constitute a service level agreement; failure to meet a target shall not entitle Customer to any credit, refund, or other remedy.
6.2 Exclusions. Standard Support does not include issues caused by third-party platforms, APIs, or services (including those referenced in Section 7); issues caused by Customer's configurations or unauthorized use of SITESYNC; training, onboarding, implementation, or custom development; or hardware, browser, or connectivity issues on Customer's side. SECONDSITE may perform scheduled or emergency maintenance from time to time, and unavailability during maintenance windows is not a breach of this Agreement.
7. Customer Data and Data Processing
7.1 Ownership. As used in this Agreement, "Customer Data" means any data, content, or materials submitted, uploaded, or otherwise transmitted by Customer through SITESYNC, including issue data, project metadata, user information, and integration configurations. Customer retains all ownership rights in Customer Data. SECONDSITE does not claim ownership of Customer Data.
7.2 License to Provide the Service. Customer grants SECONDSITE a non-exclusive, worldwide, royalty-free license to use, reproduce, and process Customer Data solely as necessary to provide, operate, and maintain SITESYNC in accordance with this Agreement. SECONDSITE shall not use Customer Data for any purpose other than providing the Service except as expressly permitted in Section 6.3.
7.3 Aggregated and Anonymized Data. Notwithstanding the foregoing, SECONDSITE may collect, use, and retain data derived from Customer's use of SITESYNC that has been (a) aggregated across multiple customers or users such that no individual Customer's data is separately identifiable, and (b) processed to remove all identifiers such that it cannot reasonably be used to identify Customer, any individual end user, or any specific project (collectively, "Anonymized Data"). SECONDSITE may use Anonymized Data solely for its internal business purposes, including to analyze usage trends, improve the Service, and develop new features. For the avoidance of doubt, Anonymized Data shall not be considered Customer Data under this Agreement.
7.4 Data Retention. Upon termination of this Agreement, SECONDSITE shall cease processing Customer Data and shall delete or return Customer Data in accordance with Section 15. SECONDSITE may retain Anonymized Data following termination.
7.5 Security. SECONDSITE shall implement and maintain reasonable administrative, technical, and organizational measures designed to protect Customer Data against unauthorized access, disclosure, alteration, or destruction.
8. Third-Party Services Dependency
SITESYNC relies on third-party platforms and APIs, including Revizto and Autodesk Build.
SECONDSITE is not responsible for:
Third-party outages,
API schema changes,
Rate limits,
Data inconsistencies caused by third-party systems,
Service degradation or feature limitations arising from third-party providers.
9. Acceptable Use
Customer shall not:
Reverse engineer or attempt to derive source code,
Interfere with service integrity,
Use SITESYNC in violation of third-party terms,
Attempt unauthorized access to systems or data.
10. Suspension Rights
SECONDSITE may suspend access to SITESYNC immediately if Customer’s use:
Violates this Agreement,
Threatens system security or integrity,
Violates third-party platform terms,
Violates applicable law.
Suspension does not relieve Customer of payment obligations.
11. Confidentiality
Each party agrees to protect the other party’s confidential information and use such information solely to perform obligations under this Agreement.
12. Intellectual Property
SITESYNC, including all related software, documentation, and intellectual property rights, is and shall remain the exclusive property of SECONDSITE.
No rights are granted except as expressly stated herein.
13. Indemnification
Customer shall indemnify, defend, and hold harmless SECONDSITE from and against any claims, damages, or liabilities arising out of:
Customer’s misuse of SITESYNC,
Customer’s violation of third-party platform terms,
Customer’s violation of applicable law.
14. Disclaimer of Warranties
SITESYNC is provided on an “as-is” and “as-available” basis.
SECONDSITE disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service.
15. Limitation of Liability
To the maximum extent permitted by law, SECONDSITE shall not be liable for any indirect, incidental, consequential, or special damages.
SECONDSITE's total aggregate liability shall not exceed the lesser of (a) the fees paid in the three (3) months preceding the claim, or (b) $500.
16. Termination
Either party may terminate this Agreement for material breach if such breach is not cured within thirty (30) days of written notice.
Upon termination:
Customer’s access to SITESYNC shall immediately cease.
Customer remains responsible for accrued fees.
SECONDSITE may delete Customer configuration and integration data within thirty (30) days unless legally required to retain it.
17. Governing Law
This Agreement shall be governed by the laws of the State of Washington, without regard to conflict-of-law principles.
18. Entire Agreement
This Agreement, together with any applicable Order Form, constitutes the entire agreement between the parties and supersedes all prior agreements regarding SITESYNC.
